Bylaws of the South Carolina Society
As Adopted on 20 April 2018

And Updated on 22 May, 2021

§1: The name of this organization shall be the South Carolina Society of the Sons of the American Revolution.
§2: This organization was organized on April 17, 1889 and is a chartering member of the National Society of the Sons of the American Revolution operating in a manner consistent with the authority and limitations outlined in Bylaws of the National Society of the Sons of the American Revolution.
§3: The jurisdiction of this Society shall be the territorial limits of the state of South Carolina unless otherwise directed by the National Society of the Sons of the American Revolution.

§1: The objectives of this Society are declared to be patriotic, historical, and educational. They shall include those intended or designed:
(a) To perpetuate the memory of those who, by their services or sacrifices during the war of the American Revolution, achieved the independence of the American people
(b) To unite and promote fellowship among their descendants
(c) To inspire them and the community at large with a more profound reverence for the principles of the government founded by our forefathers
(d) To encourage historical research in relation to the American Revolution
(e) To acquire and preserve the records of the individual services of the patriots of the war, as well as documents, relics, and landmarks
(f) To mark the scenes of the Revolution by appropriate memorials
(g) To celebrate the anniversaries of the prominent events of the war and of the Revolutionary period
(h) To foster true patriotism
(i) To maintain and extend the institutions of American freedom
(j) To carry out the purposes expressed in the preamble of the Constitution of our country and the injunctions of Washington in his farewell address to the American people.

§1: Eligibility for Membership
Any male shall be eligible for membership in this Society being a citizen of good repute in the community, is the lineal descendant of an ancestor who was at all times unfailing in loyalty to, and rendered active service in the cause of American Independence either as an officer, soldier, seaman, marine, militiaman or minuteman, in the armed forces of the Continental Congress or any one of the several Colonies or States, as a
Signer of the Declaration of Independence, as a member of a
Committee of Safety or Correspondence, as a member of any
Continental, Provincial or Colonial Congress or Legislature, as a foreign national of, but not limited to, France, Germany, Poland, Spain, Sweden or Switzerland who rendered service in the cause of American Independence or as a recognized Patriot who performed actual service by overt acts of resistance to the
authority of Great Britain, provided, however, that no person
advocating the overthrow of the Government of the United States by use of force or violence shall be eligible for membership in the Society.
§2: Classifications of Membership
(a) A Regular Member shall be any male member of the age of eighteen (18) years and over, except those members described in Subsections (2) of this Paragraph, who meets all requirements for membership as defined in the Bylaws of the South Carolina Society.
(b) A Junior Member shall be any male member under
the age of eighteen (18) years who has met all requirements for membership as defined in the Bylaws of the
South Carolina Society.
(c) A State Emeritus Member designation shall be granted to any member of the South Carolina Society, who is
in good standing (a) upon the attainment of ninety (90) years of age or (b) upon the payment of fifty (50) years of regular member state dues cumulatively from the date of approval. State Emeritus Members shall be absolved from paying annual State Society dues for the remainder of their natural life. National and chapter dues shall still apply.
(d) A State Life Member designation shall be granted to any member of the South Carolina Society, who is in good standing, as defined in Bylaw IV.
(e) A Memorial Membership designation shall be granted to a deceased male of the same family, providing that the
deceased is not prior to the second generation from the generation of the current member in good standing, whose application has been approved by the National Society and upon payment of a one-time fee equal to ten
(10) times the annual dues of the Society.
(f) A Dual Member designation shall be granted to any member of another society who wishes to obtain membership within this Society upon furnishing evidence of the member’s good standing in their primary state society.
Members of this Society may obtain Dual Memberships in other State Societies in accordance with those society’s established procedures.
(g) The official designation and form of address for a member of the South Carolina Society shall be
“Compatriot.”
§3: Application for Membership
(a) Application for membership in the South Carolina Society shall be made through the Secretary of this
Society in accordance with the applicable articles and sections of the Bylaws of the National Society upon
submission of duplicate, original applications on the proper form and paper prescribed by the National Board of Trustees, a single copy of supporting documentation
and accompanied by the proper application fees and dues for the current year. In the event an application is rejected, all dues will be refunded.
(b) An applicant for membership must be endorsed by two (2) members of this Society who are currently in
good standing.
(c) The application must first be reviewed by the Chapter Registrar and/or Chapter Genealogist prior to submission
to the State Registrar who will then review and endorse the application prior to remitting same to the State Secretary who will review and endorse the application, officially accepting it on behalf of this Society before
remitting the application to the National Society for final review and approval.
(d) Membership within the South Carolina Society is expected to be through a local chapter, with the following
exceptions where an “At Large Membership” may be granted or continued after 01 May 2018:
(1) Application is for Dual State Membership into SCSSAR and the member’s residence is outside the State of South Carolina, and is approved by the current State Secretary;
(2) As a holding place for members forming a new chapter as approved by the Vice President for Chapter Formation and communicated to the State Registrar;
(3) The member transfers, due to official orders of the military or government, out of state or country and wishes to retain SCSSAR Membership until
resettled in the USA or other geographic area where SAR membership is offered — approved by the State Secretary upon official request and documentation by the member; or
(4) If the membership is current in an At Large
Membership status as of 01 May 2018 as confirmed by the State Secretary, he may continue that status.
(e) Male members of the Children of the American Revolution may apply for membership in this Society at any time. Such application shall consist of a Certificate of Good Standing, which shall be accepted in lieu of an application fee, provided that the request is submitted no
later than one (1) year after his twenty-first (21st) birthday. Such transfers shall pay the prescribed dues and
National fee for their membership certificates.
(f) Any son of a member of this Society, or the son of a member of the Daughters of the American Revolution,
who is between the ages of eighteen (18) and twenty-five (25), may be admitted without payment of the admission fee, provided that his parent is a member in good standing, or if deceased, was a member in good standing at the time of death. Such applicant shall pay the prescribed dues and National fee for their membership certificates

§1: Members who can establish their eligibility for membership on more than one (1) ancestor may submit Supplemental Applications for each additional ancestor using the prescribed
application form, induplicate, providing a single copy of supporting documentation and submission of the appropriate application fees to the State Registrar for review and endorsement prior to submission to the State Secretary.
§2: Members may be dropped from good standing, and thus
membership within this Society, if they fail to remit the required annual dues payments as billed each year and proper notification of such action from the State Secretary.
§3: A member may reinstate their membership upon the submission of a written request upon the prescribed form by the National Society and payment of current dues and the
established State reinstatement fee.
§4: A member may transfer his membership either into another
State Society or from another State Society, if he is in good standing at the time of the transfer request, upon submission of the appropriate Transfer of Membership form as prescribed by the National Society and upon submission of the appropriate
dues payments.
§5: A member in good standing may resign his membership at any time upon written notification to the State Secretary.
§6: Good Standing
For the purpose of these Bylaws, good standing refers to a member whose membership rights are not in suspension, either
as a consequence of disciplinary proceedings (Bylaw XIV –
Membership Discipline) or by operation of some specific provision in the bylaws of the Society.

§1: The State Life Membership Program is provided as method
for members in good standing to pre-pay their annual state
dues at a rate equal to 50% of the total annual dues owed for
the period from their current age to age ninety (90). If a
member is below the age of forty (40), they shall pay the rate equivalent to that of a forty (40) year old member.
§2: Eligibility for State Life Membership is open only to
members who are also National Life Members. Application for
both Life Membership Programs may be made concurrently.
§3: Any member enrolled in the State Life Membership
Program shall be responsible for the continued payment of any chapter dues and any special assessments as may be adopted by the South Carolina Society from time to time.
§4: Any member enrolled in the State Life Membership Program shall not be responsible for paying any difference between the annual dues rate at the time of enrollment and any higher annual dues rate as may be adopted at some point in the
future.
§5: The State Life membership is not transferrable to other
state societies or any successors or heirs, nor shall any refund
of the initial fee be made if the member dies prior to reaching
age ninety (90).
§6: Upon reaching age ninety (90), State Life Members shall
be granted the State Emeritus Member designation as defined
in Bylaw III, §2 c
.

§1: The annual dues of this Society will be determined from year to year by the Executive Committee with approval of the Board of Governors.
§2: The Executive Committee may, in its discretion, remit the
annual dues of any member.
§3: Any Chapter in this Society may assess and collect from its
members such dues as it may deem advisable beyond the minimum described in Section 1 of this Bylaw.
§4: State and chapter dues shall be set and reported to the State
Secretary on or before October 15 of each year prior to their
effective date. Dues not so reported shall remain at the
previously set levels.
§5: The fiscal year of this Society shall conform to that of the National Society. Chapters shall observe the same fiscal year as the State Society.

§ 1: General Administration
The administration of the general affairs of the Society shall be entrusted to the Board of Governors, the Executive Committee, and the Officers of the Society. Whenever the Board of Governors is not in session, the administration of the Society shall be vested in the Officers or the Executive Committee.
§ 2: Board of Governors
The Board of Governors shall consist of the National Trustee,
the Alternate National Trustee, the elected officers of the Society during their terms of office, all living past presidents of the Society, and two members from each Chapter in the Society consisting of the chapter president and one additional member selected by the Chapter, and the chairs of each committee appointed by the President of the Society.
The Board of Governors shall perform such duties as defined
by the Bylaws and as may be committed to it at any meeting of
the Society.
§ 3: Permanent Committees
(a) The Board of Governors or President of the Society may delegate specific duties or responsibilities to permanent and ad hoc committees as established by either party. The President shall appoint the chairman and approve the membership of each committee, except where such chairmanship and membership are defined within the Bylaws. The following permanent committees
have been established by the State Society.
(1) Americanism
(2) Bylaws
(3) Historic Sites
(4) Medals & Awards
(5) Membership & Retention
(6) Nominating
(7) Patriot Graves
(8) Publicity & Communications
§ 4: Executive Committee
(a) The Executive Committee shall consist of the President, Senior Vice President, Secretary, Treasurer, and a Past President of the Society appointed by the President. No compatriot shall hold any two of these offices at the same time.
(b) The Executive Committee shall be the custodian of all
property, real and personal, belonging to the Society. The
Executive Committee shall meet from time to time as
necessary between the meetings of the Board of
Governors to manage the business and affairs of the
Society and perform such duties as may be committed to
it by any meeting of the Society, provided, that it shall
not have power to sell, convey, or encumber any real estate belonging to the Society or incur any liability other than for ordinary current expenses, except when it is ordered at a meeting of the Society by a two-thirds (2/3s) vote of the members present.
(c) Any actions of the Executive Committee shall be
subject to ratification at the subsequent meeting of the
Board of Governors.
§5: Americanism – The committee shall consist at a minimum of the chairman appointed by the State President, the State
Historian and one (1) other member. This committee shall
govern and promote the Americanism program of the National Society but shall not have any governing authority over the individual chapters of the Society.
§6: Bylaws – The Bylaws Committee shall consist of a chairman appointed by the President and additional members recruited by the chairman. The committee shall be the sole custodian of the governing documents of the Society and shall review these documents and recommend changes as advisable. No person may publish any version of these documents without the express permission and approval of this committee.
The committee shall also review the governing documents of the Chapters of this Society and shall have the authority to require that they are consistent with the Bylaws of this State Society and the National Society.
§7: Historic Sites – The committee shall consist at a minimum of at least one (1) member from each region of the State as appointed by the State President. The State President shall appoint the chairman. This committee shall have oversight over all National events occurring within the territorial limits of the state of South Carolina.
§8: Medals & Awards – The committees shall consist at a minimum of the Senior Vice President, who shall be the chairman
of the committee, the State Secretary and at least one (1)
member from each region of the state as appointed by the State
President. This committee shall select the recipients of all
medals given by the State Society except the Patriot Medal.
Any member of the State Society may nominate a person for an appropriate medal or award by communicating with this committee.
§9: Membership & Retention – The committee shall consist at
a minimum of the Senior Vice President, who shall be the
chairman of the committee, the State Secretary and the Regional Vice Presidents. This committee shall lead in promotion of membership and retention. This committee shall also resolve membership questions within the scope of the State and National Bylaws.
§10: Nominating – The committee shall consist of seven (7) members of which three (3) shall be elected by the Board of Governors at the October meeting and four (4) appointed by the State President such that each region of the state shall have
at least one (1) representative. The committee shall elect its
own chairman. The State Secretary shall serve as an advisor to the committee but may be eligible for election to or appointment as a voting member. The committee shall produce a slate of officers to be presented to the Board of Governors for recommendation to the Annual Meeting of the Society. It is the duty of the committee to determine the eligibility of all those nominated for State Society offices.
§11: Patriot Graves – The committee shall consist at a minimum of at least one (1) member from each region of the State as appointed by the State President. The State President shall appoint the chairman. This committee shall have the authority to keep an official roster of all patriot graves within the state of South Carolina.
§12: Patriot Medal – The committee shall consist of five (5)
former recipients of the Patriot Medal appointed by the State
President with one (1) representing each region of the state. The committee shall elect its own chairman. This committee shall select the recipients of the Patriot Medal.
§13: Publicity & Communications – The committee shall consist at a minimum of the Senior Vice President, who shall serve as chairman, the Webmaster and the Editor of The Palmetto Patriot. This committee shall have oversight over all publicity and communications of the State Society.
§14: Officers
The duties of the officers of the Society shall be such as usually appertain to their offices, and they shall have such other duties as are hereinafter imposed and such powers as shall be delegated to them by an Annual or Special Meeting of the Society, the Board of Governors, or the Executive Committee.
(a) The officers of this Society shall be a President, a
Senior Vice President, five (5) regional Vice Presidents, a
Vice-President for Chapter Renewal and Revitalization, a
Vice-President for Chapter Formation and Development,
a Secretary, a Recording Secretary, a Treasurer, a
Registrar, a Chaplain, a Historian, a Chancellor, and a
Genealogist.
(b) The officers shall be elected by a majority vote of the
members present at the Annual Meeting of the Society; and shall hold office for one year or until their successors are qualified, elected, and installed.
(c) The officers shall serve without compensation in such
capacities except for the reimbursement of ordinary expenses incurred in the performance of their office as provided for in the annual budget of the Society.
(d) The duties of the officers shall be such as their titles
shall, by custom, indicate and as may be defined within the Bylaws of the Society or as assigned by the President, the Board of Governors, or the Executive Committee.
(e) The constitutional duties of officers shall not be abridged or modified by any authority except the Annual Meeting of the Society and then only by amendment of these Bylaws. These duties as spelled out in this document are the responsibility of the officer who is answerable to the Annual Meeting.
(f) No officer of the South Carolina Society shall hold any elective or ex officio office of any other State Society.
(g) By acceptance of the nomination the President,
Senior Vice-President, Trustee and Alternate Trustee
agree to attend the National Leadership Conferences and
the National Congress unless providentially hindered.
(h) By acceptance of the nomination the President and
Senior Vice-President agree to visit as many chapters and
state events as possible. They furthermore shall attend the
President General and/or the South Atlantic Vice-President General when they visit this State Society.
(i) No member of the South Carolina Society shall serve
in the national office of Vice-President General while
simultaneously serving as State President or State Senior
Vice-President or as the Trustee or Alternate Trustee
representing this State Society.
(j) The State President shall have the authority to appoint
minor officers including but not limited to webmaster,
editor of the Palmetto Patriot, auditor, parliamentarian,
chief of protocol or sergeant at arms. These appointments are at the pleasure of the State President and shall cease
when he leaves office making reappointment by a
succeeding State President a requirement. They shall have
duties as set by the State President, Executive Committee
or Board of Governors.
(k) Officer Residence Requirement
(1) To hold any office in the South Carolina Society or one of its component chapters a
compatriot must have his primary membership in the South Carolina Society and his principal residence in the State of South Carolina or in a county of North Carolina or Georgia that is adjacent to the South Carolina state line.
(2) No Compatriot shall hold office in two different chapters at the same time. These provisions shall not apply to developing chapters under the
direction of the Vice President for Formation and Development.
§ 15: The President
The President, in addition to his general duties, shall maintain a general supervision over the affairs of the Society; he shall appoint all committees unless otherwise provided for, and shall be chairman of the Board of Governors and a member of all committees. The President will be considered the designated National Trustee nominee under normal circumstances.
§16: The Senior Vice President
(a) The Senior Vice President shall assist the President in the general supervision of the affairs of the Society and shall represent the Society at Chapter meetings or other
affairs when the President is unable to attend.
(b) In the absence of the President, he will preside over
meetings of the Society and, in the event of death, disability or resignation of the President, he will assume the duties of the President until a new President is elected at a special meeting of the Society. Such service as an interim president shall not disqualify the Senior Vice
President from serving a full term as President at the end
of his term as Senior Vice President.
(c) The Senior Vice President is the chief membership and communication officer of the State Society. He shall have oversight over all activities involving these functions.
(d) The Senior Vice President will be considered the
designated nominee for President under normal
circumstances. No member of the Society shall be nominated for Senior Vice President unless he has served at least one (1) term in another office of the Board of Governors within the past five (5) years.
§17: The Regional Vice Presidents
The Regional Vice Presidents shall seek in every manner to
promote the interest and activities of the State Society; visit and be responsible for the chapters in his area including, but not limited to, consulting with chapters on methods to revitalize the chapter from time to time; encourage and assist the Vice President of Chapter Formation and Development in the formation of new chapters and the enrollment of new members and the training of new chapter officers.
§18: Board of Governors Requirement
No member shall be eligible for nomination as a Regional Vice
President, the Senior Vice President or President who has not
(a) been a member of the Board of Governors for at least two
(2) years prior to nomination, (b) attended at least two-thirds
(2/3) of the quarterly state meetings including both annual state meetings during that two (2) year period, and (c) who has not committed to attend seventy-five percent(75%) of the
meetings during his tenure in office excepting that the attendance provisions may be waived by the Nominating Committee in the event of consideration of health or family matters.
§ 19: The Vice President for Chapter Renewal and Revitalization
The Vice President for Chapter Renewal and Revitalization
shall direct and assist chapters having difficulties either (a) at
the written request of a minimum of three (3) chapter members detailing specific areas of difficulty, (b) at the direction of the SCSSAR Executive Committee or (c) when the chapter fails to have representation at three (3) consecutive Board of Governors meetings inclusive of the Annual State Meeting.
§ 20: The Vice President for Chapter Formation and Development
The Vice President for Chapter Formation and Development
shall guide, direct and assist in the formation of new chapters
within the Society. He shall provide a written assessment.
including a recommendation to the Executive Committee
when a provisional chapter submits its chartering petition. He shall have oversight of all developing chapters. He shall serve as an advisor to these chapters as an ex officio member of the chapter’s executive committee for at least one (1) year after the Charter is approved.
§ 21: The Secretary
The Secretary shall have the ultimate charge of all the records of the society, shall give notice of all meetings of the Society, Executive Committee or Board of Governors and shall give due notice to all State Officers, and Chapters of all votes, orders and proceedings affecting or appertaining to their duties. The Secretary shall obtain name and address mailing labels as required for all members, a local permit for bulk mail and distribute the Palmetto Patriot newsletter. He shall provide a list of the new members to update the State Society Roster annually. He shall distribute all pamphlets, circulars, rosettes, and supplies as directed by the Board of Governors. He shall also serve as Secretary of the Board of Governors and the Secretary of the Executive Committee. He shall issue certificates of membership to members entitled thereto. A duplicate copy of all applications of all members shall be retained for the records of this Society by the Secretary. The Secretary shall keep a Register of the names and dates of election, transfer, resignation and death of all active members.
§ 22: The Recording Secretary
The Recording Secretary shall record the proceedings of the
Board of Governors and the Annual Meeting of the Society
and shall prepare and publish minutes. The Recording
Secretary shall prior to the Annual Meeting and the Board of
Governors meetings receive, edit and publish reports prepared
by the officers, committee chairs, and chapters of this Society.
He may distribute meeting agendas with these reports, but
production of the agendas shall remain the duty of the State
President.
§ 23: The Treasurer
The Treasurer shall have custody of the General Fund of the
Society. He shall collect all money due the Society, including application fees and dues, and keep account of the same. He shall pay to the Treasurer General the annual dues as required by the National Society. He shall keep a true account of his receipts and expenditures. He shall deposit all uninvested funds in the name of the South Carolina Society of the Sons of the American Revolution in a reliable bank or savings
institution. He shall prepare and submit a budget for approval and adoption at the Annual Meeting. General budget line items may only be added to the budget at the Annual Meeting of the Society. Expenditure of funds for items not budgeted for may only be made from the General Fund, any Contingency Fund,
Special Designated Fund, or gifts to the Society upon a two thirds (2/3) vote of the Board of Governors.
§ 24: The Registrar
The Registrar shall examine all applications for membership
and if found acceptable approve them before submission to the Secretary and ultimately to National Headquarters for final approval and registration. A duplicate copy of all applications of all members shall be retained for the records of this Society by the Secretary or the Registrar. The Registrar shall examine

§ 25: The Chaplain
The Chaplain (preferably a regular ordained minister) shall
open and close meetings of the Society with the services usual
and proper for such occasions.
§ 26: The Historian
(a)The Historian shall have the care and custody of all
records, minutes, proceedings, enacted regulations, historical papers, manuscripts and documents belonging to and pertaining to the Society, and shall keep a correct list of the same including, but not limited to, collecting copies of The Palmetto Patriot, chapter newsletters, minutes of the state and chapter meetings, and all other material related to the activities and events of the Society. These materials shall not be limited to digital copies, but physical copies of all important documents shall be
archived for future use.
(b) He shall endeavor to be present at all exercises of the
Society, and call attention to, and give information regarding, points of historic interest. He shall keep records of historical and commemorative meetings, and
shall supervise the preparation and printing of any historical publications of this Society.
(c) During his term in office the Historian shall provide the State Secretary with any records as needed.
(d) All records and collections made by the Historian shall remain the property of the State Society and shall be
delivered to his successor immediately after his election.
(e) He shall be a member of the Americanism Committee.
(f) He shall prepare a summary of activities for presentation at the Annual Meeting.
§ 27: The Chancellor
The Chancellor shall be an attorney at law and shall give opinions on legal matters affecting the Society when such questions are referred to him by the proper officers. The Chancellor shall act as the Parliamentarian at all meetings of the Society. The State President may appoint another compatriot to act as
Parliamentarian on an as needed basis.
§ 28: The Genealogist
The Genealogist shall assist prospective members in preparing applications and in reviewing applications when requested by the Registrar or Secretary.
§ 29: National Officers and Delegates
(a) National Trustee: The Society shall nominate one (1)
member each year to be elected by the Annual Congress of the National Society of the Sons of the American Revolution to serve as National Trustee. The National Trustee shall be considered the Head Delegate to the
Annual Congress from the Society
(b) Alternate National Trustee: The Society shall nominate one (1) member each year to be elected by the Annual Congress of the National Society of the Sons of the American Revolution to serve as Alternate National Trustee.
(c) Delegates to Annual Congress: The Society shall elect a Delegate At Large to attend the Annual Congress of the National Society of the Sons of the American Revolution and such other Delegates as it may be entitled to as defined and assigned by the National Society. Said
delegates to be selected in the manner prescribed by the
Constitution and Bylaws of the National Society.
(d) Vice-President General: As per the Bylaws of the
South Atlantic District, the South Carolina Society shall
every fourth year recommend to that District a compatriot
to be nominated for the position of Vice-President General. This compatriot shall not be the sitting State President
of this Society or a trustee who upon election shall serve
during the same term of office.
§ 30: Chapter Service Areas
(a)Definitions
(1)Chapter service area – County or counties and/or
parts of a county for which a chapter has the responsibility for membership recruitment, youth activities sponsorship and recruitment, grave markings, and commemorations. National Events belong to the State Society and are not included in the service area designation.
(2)State Society Regions – Chapters and their service
areas within a division of the State as defined by the Board of Governors.
(b)Chapter Service Areas
(1)The Board of Governors of the South Carolina Society shall establish chapter service areas.
(2)Chapter service areas shall be reviewed periodically
or when a new chapter is chartered.
(c)Regions of the State Society
(1)The Board of Governors of the South Carolina Society shall establish five regions, each of which shall be governed by a Regional Vice President.
(2)Regions shall be established by the Board of Governors on recommendation of the Executive Committee. These shall be reviewed and adjusted as needed or when a new chapter is chartered

§ 1: Board of Governors Meetings
(a) The Board of Governors shall meet at least quarterly,
including the Annual Meeting. The normal quarterly meeting shall be on the third Saturday of each quarter except when such dates conflicts with a National Society event, commemoration, or religious holiday. In the event of a conflict the State President shall have the discretion to move the date of the meeting by seven (7) days.
(b) The business of the Board of Governors Meeting shall consist of the reception of quarterly activity reports by the officers, chapters, and committee chairmen as well
as other such business that needs to be transacted unless specifically defined within another meeting.
§ 2: Annual Meeting
(a) The Annual Meeting of the Society is a meeting of the whole State Society with all members of the Society in good standing invited to attend with voting privileges. It shall not be held in conjunction with a Board of Governors meeting since it is subservient to the State Society as a whole.
(b) The Annual Meeting of the Society shall be held each year between January 1 and at least thirty (30) days prior to the Annual Congress of the National Society of the Sons of the American Revolution on a date, excepting Easter weekend, and at a place designated by vote of the
Board of Governors.
(c) The business of the Annual Meeting shall consist of the reception of the annual reports of the officers, chapters, and committee chairmen, the election and installation of officers, the amendment of the Bylaws, and any other business that needs to be transacted.
(d) Notice of the Annual meeting will be given to each member within the Spring Edition of The Palmetto Patriot at least thirty (30) days prior to the meeting specifying time and place.
(e) The Annual Meeting shall conclude with an Awards Banquet, the Installation of Officers, and an address by the incoming State President.

§ 4: Special Meetings
(a) Special meetings may be called by the President and
shall be called by him when so directed by the Board of
Governors or when so requested by fifteen (15) members of the Society representing at least twenty-five (25%) of the Chapters in the Society.
(b) Notice of a Special Meeting must be given to each member specifying the date and place of the meeting as well as the business to be transacted at least seven (7) days prior to the meeting. This notice can include, but is not limited to, publication in The Palmetto Patriot or a
notice mailed to each member whether by regular mail or by electronic format.
(c) The business of a Special Meeting shall be limited to
the business published in the required meeting notice.
§ 5: Virtual Meetings and Commemorations
The State Society, its chapters, and committees may conduct all meetings and commemorations by electronic means when,
for substantial reasons, it is deemed advisable by the presiding officer of the specified meeting. These electronic meetings shall be subject to all rules adopted by the Society, Board of
Governors, chapter, or committee, including any reasonable limitations on members’ participation or other parliamentary rules, but may not conflict with Bylaws of the State Society.
Established by roll call, all Quorum requirements apply.
§ 6: Quorum
Provided that no member can be counted more than once in establishing the quorum, a quorum will be defined as having a
minimum of fifty percent (50%) of the elected officers including either the President or Senior Vice President and at least one (1) representative from twenty-five percent (25%) of the chapters of the Society. A quorum shall be established at the beginning of a meeting. In the event of the failure to meet a quorum, the only action that can be taken is an adjournment.
§ 7: Parliamentary Authority
The Parliamentary Authority for all meetings of the Society,
the Board of Governors and Committees shall be Robert’s Rules of Order, Recently Revised, except as otherwise provided by these Bylaws.

§1: Nominations – Nominations for officers and the National Trustee shall be made by the Nominating Committee provided for in Bylaw VII, §10 of these Bylaws. Additional nominations may be made from the floor at the time of the election.
§2: Voting
(a) Election of officers shall be by ballot at the Annual
Meeting, and a simple majority of all votes cast shall be required for election.
(b) Voting by proxy shall not be permitted.
(c) Offices for which there is only one nomination may
be elected by voice vote. This provision may apply to an
entire slate of officers or any part thereof.
§3: Electronic Voting
At meetings conducted by electronic means, votes shall be by unanimous consent or roll call, except for contested officer elections. The Compatriot acting as recorder shall record the vote result. Compatriots shall not use ballots unless there is a
contested officer election. Contested officer election(s) shall be by secret ballot using an electronic service that supports anonymous voting.
§4: Voting Eligibility – All members of this State Society in good standing with the Society shall be entitled to attend and vote at the Annual Meeting of the Society and at any properly
called meeting of the Society unless specifically prohibited by National or State Bylaws. Such voting members must be registered and pay any applicable fees prior to the meeting. No member shall be allowed to cast more than one ballot irrespective of holding multiple offices on a chapter, state, or national
level. The presiding officer shall be allowed to vote in any meeting.
§5: Term of office – The term of office shall be for one year
and until a successor shall be elected.
§6: Vacancies – Vacancies occurring during the year shall be filled by presidential appointment.

§1: There are two (2) special funds of the State Society: (1) the Education Fund and (2) the Colonial Ball Fund. Proceeds from the former Endowment Trust Fund and Life Membership Fund are to be transferred to the General Fund to eliminate the annual need to disburse funds to the General Fund. The functions of these funds are defined in the following sections.
§2: The Education Fund will receive contributions from members and non-members. The proceeds of the Fund shall be used to promote the educational goals of the Society.
§3: The Colonial Ball Fund will receive all fees paid for
participation in the Colonial Balls sponsored by the Society as well as any contributions made specifically to the Ball or the
Fund. The Fund shall be used to pay for costs incurred in
producing the Colonial Ball. Proceeds of the Ball shall be used to fund the SCSSAR Scholarship Contest.
§4: The Special Funds of the Society shall be in the custody of
the State Treasurer. The State Treasurer shall keep an accurate accounting of all funds, revenues and expenses related to the
Special Funds to be reported on at Board of Governors and the Annual State Meetings. Special Fund accounts may be audited
by person(s) selected by the Board of Governors at any time.
§5: Properties may be retained in the form received or converted to cash, in the considered judgment of the Board of Governors. Investments will be insured accounts and expenditures will be made only as provided in Sections 1 through 4 above, or as directed by the Executive Committee or Board of
Governors.

§1: A Chapter of this Society shall consist of a minimum of ten (10) members in good standing, residing in a specific community within the jurisdiction of the Society.
§2: Each chapter shall regulate all matters, including membership, pertaining to its own affairs, subject to the provisions of
the Bylaws of this Society and the National Society of the Sons of the American Revolution.
§3: Ten (10) or more members of this Society, residing in any community within the Society’s jurisdiction where a Chapter does not exist, or a former chapter has become inactive, may organize themselves into a Prospective Chapter of this Society upon the approval of the Executive Committee. The Prospective Chapter shall be under the supervision of the Vice
President for Chapter Formation and Development and shall be subject to the provisions of the Bylaws of both this Society and the National Society Sons of the American Revolution.
§4: Application for a Chapter Charter shall be by written petition to the Executive Committee, setting forth the location
of the Chapter, the name of the Chapter, the names of the chartering members at the time of the petition, the definition of the chartering period, the names of the chapter officers and a copy of the Bylaws of the Chapter. The Executive Committee shall review the written petition in consultation with the Vice
President for Chapter Formation and Development and either
recommend adoption by the Board of Governors or return the petition with recommended changes.
§5: All petitions for Chapter Charters shall be approved by the Board of Governors by a two-thirds (2/3s) affirmative vote of all members present and voting at a meeting of the Board of Governors. Presentation of the Charter shall be made at a time, date and place to be determined by the new Chapter.
§6: Chapter Charters may be revoked for cause by a two-thirds(2/3s) affirmative vote of the Board of Governors at either a regularly scheduled meeting or at a specially called meeting.
§7: Each chapter shall at a minimum:
(a) Notify the State Secretary of the election and/or appointment of all chapter officers no later than thirty (30) days of said election/appointment. This notification shall be in writing and include the names of the officers, date
of election/appointment and a signed copy of the Conflict of Interest Acknowledgement Form.
(b) Notify the State Secretary of the death of any member of the chapter upon learning of said death.
(c) Provide a written report of all chapter activities on a
form provided by the State Secretary by the stated
deadline for each quarterly Board of Governors Meeting and Annual State Meeting.
(d) Send the minimum representation as defined by the Bylaws of this Society to the announced meetings of this Society.
(e) Perform other such duties or requirements of this Society as defined by the Board of Governors and/or Executive Committee from time to time.
§8: Chapter membership shall not in any way change the relations of members to the State Society, nor impair
obligations of the payment of dues and other such assessments or obligations as defined by the Bylaws of the Society.
§9: Chapters are creations of the State Society and exist at the pleasure of the State Society. No chapter shall have the authority to disband without the written permission of the Board of
Governors which shall require a two-thirds (2/3s) affirmative vote of all members present and voting at a meeting of the
Board of Governors. All properties and funds of a disbanding chapter shall become the property of the State Society which may hold them in trust for a reactivation of the chapter or for a new chapter in that jurisdiction. Under no circumstances shall funds or properties of a disbanded chapter be distributed to its
former members or to any other organization or entity outside of the jurisdiction of this State Society.

§1: The State Society shall retain authority and oversight over all National events occurring within the territorial limits of the
state of South Carolina. Chapters may participate as sponsors of these events, but shall not control, modify or determine the
protocol of these events. Every consideration shall be given to state and national officers. The South Atlantic Vice President General and the State President shall preside at these events in
the manner required by national protocol.
§2: The State President shall attend all events within the territorial limits of the state of South Carolina in which the President General or the South Atlantic Vice President General is present unless providentially hindered. However, in such case either the Senior Vice-President or a Past State President appointed by the State President shall act
in his stead and with his authority. Under no circumstances shall the presence of these National officers be ignored.
§3: The State President shall appoint a chief of protocol to oversee the protocol of any event or events within the State Society. This officer shall have the authority to require
compliance to national protocol and shall function under direction and authority of the State president. No State or chapter officer shall have the authority to overrule this officer on matters of protocol.

§1: All members of the State Society shall conduct the
business of this Society in an ethical and responsible manner respecting the dignity of every compatriot and every guest of the society. They shall act as gentlemen and shall observe the behavioral code of the National Society.
§2: The State Society shall have the right to censure or expel any compatriot who does not respect by words or action the dignity of any compatriot or guest of the society.

§1. Complaint
(a) Any member of the South Carolina Society of the Sons of the American Revolution (SCSSAR) may lodge a formal complaint against another member of the SCSSAR for alleged conduct prejudicial to the best interests of the SCSSAR. The complaining member will file the written
complaint, which will include specifics of the conduct alleged, with the President of the SCSSAR. (President). If the President is the party to whom the complaint is lodged against, the current sitting Senior Vice President of the SCSSAR will receive the complaint and will serve in the President’s capacity for all the following provisions in this section.
(b) Upon receipt of the complaint, the President will form an Ad Hoc Adjudication Committee (“Committee”) whose membership will be appointed at his discretion. He will also appoint a Chairman of the Committee (“Chairman”) from the Committee’s membership. This Chairman will serve as the presiding officer at Committee meetings and will be the point of contact between all third parties
and the Committee.
(c) The Committee will be composed of five members of the Board of Governors, none of whom may be a member of the same chapter to which the accused member belongs. The President of the SCSSAR will serve as an ex-officio and non-voting member of the committee.
(d) All matters and communications of the Committee are privileged, and no notes or recordings of its proceedings will be allowed or published, with except for the final determination of the Committee as produced in
written form by the Chairman.
(e) The Committee will first consider whether the conduct alleged in the complaint, if true, would constitute conduct prejudicial to the best interests of the SCSSAR.
Conduct that is “prejudicial to the best interests of the
SCSSAR” shall be interpreted by the Committee as behavior by a member(s) of the SCSSAR that is detrimental, damaging, injurious, harmful, disadvantageous, hurtful, or otherwise has a negative impact on the reputation of other
member(s) or the SCSSAR. If the Committee determines that the alleged conduct would not be prejudicial, it will take no further action and the matter will be closed. The
Chairman will then notify the President of the SCSSAR and the member who filed the complaint of the Committee’s decision and that no further action will be taken on the matter.
(f) If the Committee determines that the alleged conduct, if true, would be prejudicial to the best interests of the SCSSAR, it will set a date for a hearing not less than three (3) nor more than six (6) calendar weeks after such determination. The Chairman will send a copy of the complaint to the accused member by a method that will
assure delivery, together with a notice of the hearing. The notice will advise the accused member that he may appear at the hearing and present witnesses in his defense.
§2. Committee Hearing
(a) The committee should meet in a location that is central to the state of South Carolina, though another location may be decided upon by the committee. At the hearing, the complaining member(s) will be heard first and then the accused member(s) may present evidence, including
witness testimony, regarding the conduct in question. The witnesses offered will only be allowed to speak on the matters, facts, and issues in the complaint and evidence—
other information (e.g., the subject member’s character or past contributions to the SCSSAR) will not be heard.
(b) Neither the accused member nor the member who filed the complaint are required to attend the hearing for the hearing to proceed and the Committee to act.
(c) Once all testimony is heard by all parties present and all evidence has been introduced to the Committee, the
Committee will temporarily adjourn the hearing to go into
an Executive Session. All non-Committee parties will
leave the room or area in which the Committee is holding the Executive Session. During the Executive Session the
Committee will deliberate and determine whether the
alleged misconduct is prejudicial to the best interests of the SCSSAR and, if so, the corresponding sanction.
Should the Committee find that the alleged misconduct is prejudicial to the best interests of the SCSSAR, it may, by a majority vote of those Committee members present, is sue any punishment ranging from a written reprimand to
be mailed to the subject member and read out loud to the membership at the next Board of Governor’s meeting, up to (but not exceeding) suspending the subject member from all privileges of the SCSSAR for not more than five
(5) years from the date of the hearing. The committee’s decision on this sanction is final and effective immediately. Any sanction imposed will be announced by the
Chairman of the Committee, or his designee, at the next scheduled Board of Governor’s meeting and will be included in the meeting’s minutes.
(d) If the Committee considers such a reprimand or suspension to be an insufficient sanction, it may, in addition to the Committee’s imposed sanction, recommend to the Board of Governors that the subject member
be expelled, permanently, from the SCSSAR. In such
case, the suspension does not restrict the suspended
member’s right to appear at the next Board of Governor’s meeting in which Committee’s recommendation is considered.
(e) After the Committee has reached a decision, the
Executive Session will end, and the parties will be
allowed back into the meeting room/area. The Chairman will notify the accused of the Committee’s decision and will also notify the subject member(s) that they may address the membership in Executive Session at the next Board of Governors meeting. Following the meeting, the
Chairman will put the Committee’s findings in written form, deliver it to the President, and distribute copies to the Committee members. If either or both the complaining member(s) or the accused member(s) were not present at the hearing, the Chairman will notify the absent member(s) of the action that the Committee has taken.
(f) Suspension from the SCSSAR will be defined as a period of time, as determined by the Adjudication Committee, in which the subject member is banned from attending any SCSSAR State or chapter meetings or events and all privileges of membership in the SCSSAR are revoked.
(g) After the Chairman of the Committee has notified the
President of the sanction imposed, the President, in turn, will notify the National Society of the Sons of the American Revolution (“NSSAR”) that the subject member is no longer a member in good standing with the SCSSAR for the period of time determined by the Committee.
§3. Expulsion
(a) Expulsion of a member from the SCSSAR may be
accomplished only by the voting members of the Board of Governors in a Board of Governors meeting following the
hearing of the Adjudication Committee and upon that
Committee’s recommendation as provided for in §2 of this bylaw. Such proceedings may occur at a regularly
scheduled or specially called Board of Governors meeting and only in Executive Session.
(b) The subject member may appear on his own behalf, though the presentation of new evidence is not permitted.
The President will read the charges, the Committee’s findings, and the Committee’s recommendation. The
President will then invite the subject member, if present, to speak on his own behalf. After the subject member speaks, the subject member will leave the meeting room immediately.
(c) After the subject member leaves, the membership may pose inquiries to the Committee Chairman, but the inquiries must be in the form of a question and must concern the complaint and the material within the four
corners of the complaint document. As the proceedings of the Committee and the Committee’s deliberations
regarding the sanction/proposed expulsion are privileged, they may not be discussed. The Chairman may defer a
question to any member of the Committee at his
discretion. Each member present in the Executive
Session of the Board of Governors will have two minutes to pose a question to the Chairman— but they will not be allowed to address the membership as a whole nor speak on behalf of the subject member. The two-minute
allotment will start from the moment the member is
recognized by the President and the time allotted includes both the question posed and the response given.
(d) The President will then move the proceedings to a
vote on the matter at hand. Members present at the meeting will vote on the proposed expulsion by secret ballot. As they are members of the Board of Governors, the members of the Committee are also entitled to vote. Two
members of the Board of Governors, selected at the discretion of the President, will collect the ballots and tally the votes. The vote to expel must be a simple majority of the votes cast. If the members vote not to expel, the Adjudication Committee’s suspension will stand. No alternative sanction will be proposed, deliberated, or considered
by the membership. Once the vote is cast, the President will review the tally. The subject member will be allowed to re-enter the meeting and then the President will announce the vote.
(e) If the membership votes not to expel, the date of the
sanction imposed by the Committee at the Committee hearing will stand as the “starting” date of the suspension.
(f) Regardless of the membership vote, the subject member will then leave the room—either because the suspension sanction by the Committee is in effect or because the
subject member has just been expelled from the SCSSAR.
§4. Violation of Suspension
(a) Should any suspended member violate the terms of
suspension, the current sitting President must be informed, in writing, of the violations. The President will then notify the subject member of the claims in the
reports of violation.
(b) Should the President find through his own investigation that the reports of violations are truthful, the President, at his discretion, may then restart the term of suspension of the subject member as previously adjudicated by the Committee.
(c) The President will send a written letter to the subject
member notifying him of his decision. The new term of suspension will run from the date of the letter through the same term length as the original suspension. The President’s decision in this matter is final.
§5. Readmission
(a) If the subject member was suspended but not expelled by the SCSSAR, they may re-apply for admission to the SCSSAR after the term of their suspension has expired.
The same application procedures will apply to them as they would any new member. However, extra scrutiny will be placed on their behavior during their suspension— specifically to the question as to if they have violated the terms of their suspension from the SCSSAR. All reports
of the subject member’s violation of the terms of his suspension will be filed with and actions taken by the President under §4.
(b) If there has been no report of a violation of the subject member’s suspension, the Registrar of the South Carolina Society will accept and review the subject member’s application for re-admission to the SCSSAR. Should
the application’s components be in good order and the dues for the current fiscal year be paid, the subject member will be readmitted as a member in good standing with
the SCSSAR, the NSSAR will be notified, and the subject member’s privileges will be fully restored.
§6. Effectiveness and Impact of this Section
(a) Any members of the SCSSAR that were suspended
before the adoption of this bylaw and are currently still
on suspension, are subject to sections four (4) and five
(5) of this bylaw.
(b) All language, matters, rules, proceedings, or
regulations in this bylaw supersede any language,
matters, rules, proceedings, or regulations, that would otherwise be provided for in Robert’s Rules of Order.

§1: The Bylaws may be altered or amended by a two-thirds vote at an Annual or Special meeting of the membership of the Society provided if notice of such proposed amendment shall
have been sent to each member at least fifteen (15) days prior to the said meeting.
§2: The Bylaws Committee may initiate changes in the Bylaws or other governing documents or may draft changes to these documents at the request of the Board of Governors, Executive
Committee or any member of the Society. The Committee shall also make a recommendation to the Board of Governors
as to the appropriateness of these amendments.
§3: Amendments shall be drafted by the Bylaws Committee and submitted to the Board of Governors for approval and then submitted to the Annual Meeting for adoption. Changes may be made by the Board of Governors, but once submitted to the Annual Meeting amendments cannot be further amended at the
Annual meeting.

The Bylaws herein given are certified as a true copy of those adopted by the Annual Meeting of the South Carolina Society,
Sons of the American Revolution on 22 May 2021.
Separation of these Bylaws from this certificate shall invalidate the copy of the Bylaws. This certificate is to be included in the online copy.

SCSSAR MEMBER INSIGNIA MEDAL

INFORMATION

This South Carolina Insignia is a permanent membership medal sold exclusively to members of the South Carolina Society, including those out-of-state dual members.  The medal set comprises a large and small medal with appropriate ribbon drape in the colors of our South Carolina State Flag.  The silver medal is surrounded by a ring of textured metal with raised lettering of “South Carolina Society on top and “Sons of the American Revolution” (TM) on bottom.  The interior features a blue enamel matching that of the ribbon drape with a white silhouette of our state and an inset silver Palmetto tree.  Also featured is the cap badge of South Carolina troops in white enamel with silver lettering “Liberty.”  Finally, 1889 is included as our society’s date of founding along with a 3D silhouette of an American Patriot standing vigilant.

The medal set is offered at a retail price of $30.00.  

The SCSSAR Insignia will serve as a first of its kind identification for our membership, but it also serves as fundraising effort in support our efforts to commemorate the 250th Anniversary of American Independence.  Through 2026, proceeds will assist with funding the SCSSAR America 250th Committee’s projects, as approved by the Board of Governors.  After which, all sales revenue will revert to our society’s general fund.

Please join me in supporting this historic program.  Fill out the enclosed order form, enclose your check, and send it to the Program Coordinator as soon as possible.  Upon completion of the fundraising effort on Friday, June 16, 2023, all future membership insignia will be available only through the South Carolina Society.  The medal sets will be made available to your chapter representatives, for distribution, at the 2023 July Board of Governors meeting.
